Every business entity (corporation, limited liability company, and limited partnership) with “active” status is required to file an annual report each year with the Department of State, Division of Corporations by May 1st to maintain “active” status.
Many of our clients have received email notices from Arvitas, LLC, which is a private company soliciting business entities in Florida to file annual reports at an inflated fee. Please be aware that ARVITAS IS NOT AN AGENT OR REPRESENTATIVE FOR THE FLORIDA DEPT. OF STATE, DIVISION OF CORPORATIONS. Arvitas is acting on its own to solicit business for its own company and they do not offer any additional service than what is available to the public on sunbiz.org. In response, the Attorney General´s Office, on behalf of the Dept. of State, is currently pursuing legal action against Arvitas.
Florida businesses must go to the Division of Corporations website at www.Sunbiz.org to file the annual report online. Filing online is quick, easy, and secure. “How to file the annual report” appears on the front page of the website and payment can be with a credit card, prepaid account, or check. Filing fees are set by statute and vary by entity type, but when you file online the fees are figured for you.
